Terms & Conditions
These TOCs are apply to template & fixed scope service purchases.
1. Introduction
These general terms and conditions, hereinafter referred to as “GTC”, govern the contract between the client (hereinafter referred to as client) and Asynch Works GmbH (service provider) for digital products (templates) and fixed scope services (e.g. Clarity Workshop).
These GTC refer templates and services, which can be purchased via the webshop function of the site https://asynch.works/shop and are subject in their entirety in their current version, unless they have been amended or supplemented by written agreements.
Separate GTCs are available for consulting mandates (=projects).
Should individual provisions of these GTCs prove to be invalid or ineffective, they shall be replaced by the provision that comes closest to the intended purpose of the invalid or ineffective provisions. Furthermore, the validity and effectiveness of the remaining parts of the GTC shall remain unaffected.
With his order the customer acknowledges the validity of the GTC of Asynch Works GmbH in its current version (as of January 2023).
2. Availability
The availability of our templates and services is based on the website functioning and we have the right to change product listings at any time.
We reserve the right to refuse orders or to cancel orders and are neither liable for explanation nor for damages.
3. Prices and Orders
All price quotations on price lists, brochures and in electronic media are non-binding.
4. Terms of payment, delay of payment and exclusion of settlement
When ordering templates or services via our webshop, payment is due at the same time as the order.
Mutual offsetting and deduction of different orders is excluded.
5. Cancellation
Cancellation of electronic products (templates) and services is generally not provided, unless better conditions for the customer are explicitly mentioned in the product description, e.g. right of withdrawal within a defined period.
6. Place of fulfillment
For digital products (templates): the place of fulfillment is virtual and completed with the delivery by e‑mail containing a download link contained therein.
For fixed scope services: the place of fulfillment is completed when the described deliverables are sent to the customer by email. Is the client unable to provide his/her part in the execution of the service, e.g. completing the questionnaire, the fulfillment is paused and doesn’t equal a delay of fulfillment on our side. Fixed scope services have a start and end date (see product description details); is the client unable to attend or participate, the duration of the services isn’t prolonged.
7. Redemption and Exchange
For services, such as templates and services, no return or exchange is offered – see also chapter “Cancellation”.
8. Data protection
Your personal data is required for order processing and payment transactions. For more information see our privacy policy.
